GoodSip — Terms of Service

These Terms of Service (the “Terms”) are a legal agreement between you and Krishna Patel d/b/a GoodSip (“GoodSip,” “we,” “us,” or “our”) covering your use of the GoodSip mobile application and related services (the “App”). By creating an account or using the App, you agree to these Terms. If you don’t agree, don’t use the App.

Your privacy is covered separately in our Privacy Policy.

GoodSip is built by Krishna Patel, Cole Tansey, and Parth Patel. The contracting party under these Terms is Krishna Patel d/b/a GoodSip.

Apple acknowledgment. If you download the App from the Apple App Store, you and GoodSip acknowledge that these Terms are concluded between you and GoodSip only, and not with Apple Inc. (“Apple”), and that GoodSip—not Apple—is solely responsible for the App and its content. Your use of the App must also comply with the Apple Media Services Terms and Conditions and applicable Usage Rules.

1. Eligibility and accounts

You must be at least 13 years old and use the App under your own, truthful account. You’re responsible for activity under your account and for keeping your password private. One account per person.

2. License to use the App

We grant you a personal, non-transferable, non-exclusive license to use the App on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, including use by accounts associated with you via Family Sharing or volume purchasing where Apple allows it. You may not distribute, transfer, reverse-engineer (except where prohibited restrictions are not allowed by law), or misuse the App.

3. Your content

You keep ownership of content you add — photos, drink notes, ratings, and profile details. By adding content, you grant us a worldwide, royalty-free license to host, display, and use it to operate and improve GoodSip, including showing your public profile and contributions to other users, and combining ratings into anonymous, aggregated statistics (such as community cafe scores), which we may use and share in forms that never identify you, as described in the Privacy Policy. This license ends for personal content you delete, except content already blended into anonymous aggregates, which cannot be un-blended.

Only add content you have the right to share. Don’t post other people’s personal information without permission.

We may remove content, suspend or terminate accounts, or restrict features — with or without notice — especially for violations of these Terms or to protect users and the service. Report objectionable content or abusive users in the App where available, or email goodsipapp@gmail.com. We aim to review reports promptly.

6. Our intellectual property

The GoodSip App, name, design, and everything in it that isn’t your content (including cafe listings, menus, and computed scores) belong to us or our licensors. Except for the license in §2, no rights are granted.

7. Copyright infringement claims (DMCA)

We respect intellectual property rights and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA). If you believe content on GoodSip infringes your copyright, send a written notice to our designated copyright agent that includes:

Counter-notice. If you believe content you posted was removed by mistake or misidentification, you may send a counter-notice including: your signature; identification of the removed material and where it appeared before removal; a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake; your contact information; and a statement consenting to the jurisdiction of the federal court in your district (or, if outside the U.S., Illinois) and that you will accept service of process from the person who filed the original notice.

Repeat infringers. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

8. Third-party services

The App relies on third-party services (for example hosting, analytics, and photo moderation) described in the Privacy Policy. You must also comply with applicable third-party terms when using the App (for example your wireless data service agreement).

9. Disclaimer of warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We don’t promise the App will be accurate, reliable, or uninterrupted. Community scores are opinions aggregated from users, not facts. Cafe details (hours, menus, prices) may be wrong or out of date.

To the extent any warranty cannot be disclaimed: if the App fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price for the App to you (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are GoodSip’s sole responsibility.

10. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM YOUR USE OF THE APP. IF WE ARE FOUND LIABLE DESPITE THAT, OUR TOTAL LIABILITY IS CAPPED AT $50. Some places don’t allow these limits, so they may not fully apply to you. These Terms do not limit liability beyond what applicable law permits.

You and GoodSip acknowledge that GoodSip—not Apple—is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including product liability claims; claims that the App fails to conform to any applicable legal or regulatory requirement; and claims under consumer protection, privacy, or similar legislation.

11. Intellectual property claims

In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, GoodSip—not Apple—will be solely responsible for the investigation, defense, settlement, and discharge of that claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless GoodSip and its builders, officers, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your misuse of the App, or your violation of these Terms or of someone else’s rights.

13. Termination

You may stop using the App and delete your account at any time (Settings → Delete Account). We may suspend or terminate access as described in §5. Sections that by their nature should survive (including license limitations, disclaimers, liability limits, indemnity, arbitration, and Apple-related terms) survive termination.

14. Maintenance and support

GoodSip is solely responsible for providing maintenance and support for the App, as required under these Terms or applicable law. You and GoodSip acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App. For support, see our support page or email goodsipapp@gmail.com.

15. Legal compliance (export)

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

16. Governing law; disputes; arbitration; class waiver

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Exclusive venue for any court proceedings permitted under these Terms is the state or federal courts located in Illinois.

Pre-suit notice. Before filing a claim, you agree to email goodsipapp@gmail.com a brief description of the dispute and allow 30 days for us to try to resolve it.

Binding arbitration. Except for small-claims court actions and claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the App will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The seat of arbitration will be in Illinois (or another location the AAA rules allow). Judgment on the award may be entered in any court with jurisdiction.

Class-action waiver. YOU AND GOODSIP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Jury trial waiver. You and GoodSip waive any right to a jury trial to the fullest extent permitted by law.

If the class waiver is found unenforceable as to a particular claim, that claim must proceed in court, not arbitration. If the arbitration agreement is found unenforceable as a whole, disputes proceed in Illinois courts as stated above.

17. Apple as third-party beneficiary

You and GoodSip acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

18. Changes

We may update these Terms. We will change the “Last updated” date at the top of this page. Continued use after an update means you accept the revised Terms.
